Contracts / $900 to $3,200 per agreement
Contracts you can actually read.
If you cannot explain a clause to your business partner in one sentence, it should not be in your contract. We draft that way and we review that way.

Review or draft
Two different jobs, two different prices.
Review / $900 to $1,600
Someone handed you a contract
A lease, a vendor agreement, a buyout offer, a franchise disclosure. We read every page, mark the clauses that bite, and send a one page memo: what to sign as is, what to push back on, and the exact language to ask for. Two business days for anything under forty pages.
Includes one call to walk through the memo and one round of redlines back to the other side.
Draft / $1,800 to $3,200
You need something people will sign
A client service agreement, terms of sale, an independent contractor agreement, a partnership or operating agreement. We interview you for an hour about how the work actually goes wrong, then write a document built around those moments. One week to first draft, two rounds of edits included.
Templates you will reuse come with a fill-in guide so your office can issue them without calling us.
What we draft most
The six agreements a small business runs on.
- Client or customer agreement
Scope, payment terms, what happens when the client changes their mind, and how either side walks away. The document that gets you paid.
- Independent contractor agreement
Written to survive California's ABC test as far as the facts allow, with IP assignment and a clear end date.
- Operating or partnership agreement
Who decides what, how profits split, what happens on death, divorce, disability or a partner who stops showing up.
- Commercial lease review
Personal guarantees, CAM charges, assignment rights and the option to renew. The landlord's form is written for the landlord.
- Vendor and supplier terms
Delivery, warranty, limitation of liability and who eats the cost when a shipment is wrong.
- Buy-sell agreement
How a departing owner is valued and paid, and over how long. Drafted to match the owners' estate plans.
How a review runs
Send it Monday, sign it Thursday.
Email the document and tell us the deadline. Jonah confirms the flat fee within the hour. Marcus reads it, marks it and writes the memo. You get a call to walk through it, usually fifteen minutes, and a redline you can send to the other side yourself or have us send. If they come back with changes, the second read is inside the fee.
We write in short sentences with defined terms used once. We cut the clauses that do nothing but make the document longer. Where California law overrides a clause anyway, we say so instead of leaving it in to look tough. The result is a contract your partner, your bookkeeper and your future self can all read without us in the room.
Forming the company at the same time? The operating agreement is part of business formation. Buying or leasing a building? Purchase agreements and leases sit under real estate law. Not sure? Book the consult and attach the document.
